2008-2009 Annual Meeting Documents

  • All documents presented at the 2009 Annual Meeting held on March 14, 2009.

2008 POASC Independent Auditors Report

The 2008 POASC Independent Auditors Report is password protected. To obtain the password please call Kay at the Spanish Cove office: 961-1129.  Kay will verify that you are a property owner.
  • The Audit is performed once a year by an independent auditor selected by the Board of Directors. In the process the auditor verifies the accuracy of the POASC records and the financial position of the Cove.
POASC Rules & Regulations Pertaining to the ByLaws
  • Rules and Regulations as to the ByLaws, they are a little more specific. They are similar to the Rules and Regulations as to the Covenants, in that they are easier to change. They also may be changed by a vote of the Board of Directors after they are read at a Regular Board Meeting. Property owners may comment and then they may be voted on at the next Regular Meeting.
POASC Bylaws Updated May 2008
  • The Bylaws are the rules the Board of Directors follow. They explain the duties of board members and officers. They set up the rules for members’ meetings and all meetings of the board. The board may make changes to the Bylaws after they are read at two consecutive board meetings. However, some require a vote of the property owners.
POASC R & R Covenants May 2008
  • Rules and Regulations as to the Covenants, they are a little more specific. They are also easier to change. They may be changed by a vote of the Board of Directors after they are read at a Regular Board Meeting. Property owners may comment and then they may be voted on at the next Regular Meeting.
POASC Operating Procedures April 2008
  • The Operating Procedures pertain to the staff, office procedures, financial policies, record keeping, security patrol and hurricane procedures.
POASC Covenants May 2008
  • The Covenants are our “constitution”. They give the general rules by which we live here in Spanish Cove. They can only be changed by a vote of the property owners.

    Sally, when I was chairman of the nominating committee several years ago it was established that the Annual Meeting was between 9am and until it was adjourned. This in affect made the voting take place “during the meeting” You are stretching my memory concerning the presenting of the budget, but if I remember correctly going back to 2001 and 2002 the budget has always been presented at a special meeting of the Board held for just that purpose. After the budget hearing the Board adopted the budget. I can not remember any time since 2001 where the entire Board played a part in the annual meeting.

    I do believe something needs to be done concerning the bringing up bussiness during the meeting. In my opinion, the meeting as it now is, is a complete waste of time. It is not possible for anyone to bring a matter before the membership for a vote, or even for discussion I doubt that there was even a quroum of the Board, much less membership including proxies, at the meeting this year. In effect there was no meeting and a new one has to be rescheduled.

    Actually, the announcement of the election results is a relatively new part of the Annual Meeting. It was made possible by limiting the voting hours from 9 to Noon, so the ballots could be counted and a report given at the meeting. As I read Section 5.2, the purpose for the meeting is to elect directors, vote on referendums, presenting the annual budget and transacting any and all business that may be brought before the board. However, the voting is not held at the Annual Meeting, although it is held the same day. Perhaps a little tweaking of that section is necessary. The budget also was not presented, but they didn’t present it at the 2008 meeting, either.

    Clarice I checked with several people and they haven’t had any problems with opening and downloading the POASC documents.

    Why don’t you install Foxit, a free pdf reader with a very small imprint, on your Vista computer?

    I am using Internet Explorer and can not download the documents. Tried right click to Save target as and tried just a left click. Please send me a suggestion for how to get the documents to my computer.
